"Client" shall mean and be deemed to include managers, owners, partners, joint venturers, principals, employees, agents, parent companies, subsidiaries, affiliates, successors, commonly controlled or affiliated persons, and/or organizations, and all affiliated persons, corporations, partnerships, companies, or entities. By signing below, I acknowledge that I have read and agree to the terms outlined in this Agreement. WHEREAS, Client desires to retain the services of MY247VA to provide full and/or part-time independent virtual assistant ("VA") services, and MY247VA desires to provide such services on the terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants contained herein, MY247VA and Client agree as follows: 1. Scope of Services MY247VA shall use reasonable efforts to supply Client with one or more VAs as requested by Client to perform the services as described in the attached Exhibit A. No modification to the VA job description set forth in Exhibit A shall be binding on MY247VA without its express prior written approval. This Agreement governs all prior agreements and any subsequent modifications to the VA job description. 2. Selection of VAs MY247VA shall recruit, interview, and conduct background checks for all VAs to be assigned to Client. If Client has specific skill requirements, MY247VA must be notified in writing prior to each assignment, and MY247VA will use its best efforts to accommodate Client’s needs. 3. Status of VAs Except as otherwise provided herein, MY247VA assumes full responsibility for compensating its VAs. VAs shall not be considered employees of Client for any reason whatsoever. 4. Fees, Billing, and Time Records The final pricing for VA services will be displayed above, as calculated by the price calculator provided by MY247VA upon sign-up. This calculated fee, based on the Client’s specific service requirements, will be the basis for the monthly recurring subscription fee. Onboarding Fee: Upon execution of this Agreement, Client agrees to pay a one-time Onboarding Fee of $150, which will be charged during the first month of service. This fee is non-refundable once the VA is successfully hired. Subscription Fees: Client authorizes MY247VA to automatically charge the payment method on file for the calculated monthly subscription fee on the same calendar day each month, starting from the Subscription Start Date. The monthly charge will recur unless canceled in accordance with this Agreement. Overtime: Client agrees to pay 1.5 times the regular billing rate for any hours worked in excess of 40 hours per week for full-time VAs. Holidays: The following U.S. holidays will be observed by MY247VA, during which VAs are not scheduled to work unless otherwise authorized by Client: New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day. Invoices: Client will receive emailed invoices for the assigned contracted hours during the relevant billing period. Failure to dispute an invoice within 2 business days of delivery will constitute acceptance of the invoice, and Client will be responsible for payment in full. Time Tracking: MY247VA shall provide time records of the VAs' actual work hours as logged in MY247VA’s tracking system. 5. Payment Method Client agrees to execute an automatic payment authorization form, allowing MY247VA to charge the payment method on file for the calculated subscription fees on the same calendar day each month starting from the Subscription Start Date. Payments are due automatically and must be processed by the payment method on file. In the event of payment delinquency (over 7 days past due), MY247VA reserves the right to require prepayment for future services. If the Client’s payment method is declined, the account will automatically be placed in delinquent status. 6. Taxes and Fees Client is solely responsible for the preparation and submission of all applicable federal, state, and local income taxes related to the services provided under this Agreement. MY247VA is responsible for its own business taxes and agrees to provide relevant tax documentation upon request. 7. Confidentiality Both MY247VA and Client agree to hold confidential all proprietary information, business strategies, client lists, and trade secrets. Confidentiality obligations extend to all employees, contractors, and affiliates of both parties. The confidentiality obligations will remain effective even after the termination of this Agreement. 8. Non-Solicitation Client agrees not to hire or offer employment to any VA assigned by MY247VA, directly or indirectly, for a period of 24 months after the termination of this Agreement. Any breach of this provision will result in a liquidated damages fee of $25,000 per VA hired or solicited by the Client. 9. Performance of Assignment VAs will have access to standard tools and equipment. If additional equipment is required by the Client, it will be the Client's responsibility to provide or cover the cost. Client agrees to provide day-to-day guidance for tasks assigned to the VA. 10. Termination and Cancellation This Agreement shall have a minimum term of 90 days from the effective start date of the VA. If Client terminates the Agreement prior to the expiration of the initial term, an early termination fee of $1,500 will be applied. MY247VA may terminate the Agreement if payments are not made, or if there is a breach of contract by the Client. 11. Dispute Resolution Any dispute arising out of this Agreement shall be resolved by arbitration in accordance with the rules of the American Arbitration Association in Florida. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs. 12. Indemnity Client agrees to indemnify and hold harmless MY247VA, its employees, contractors, and affiliates from any claims, damages, or losses arising out of the services provided under this Agreement. 13. Jurisdiction and Venue This Agreement shall be governed by the laws of the State of Florida, and any legal proceedings shall take place in the appropriate courts of Florida.
